1. Agreement to Terms

Welcome to Lahboom. These Terms and Conditions ("Terms") form a binding agreement between you and Lahboom LLC [exact registered entity name pending completion of California formation — confirm before publishing] ("Lahboom," "we," "us," or "our") governing your access to and use of the Lahboom website, web application, and any related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

The Service is intended for individuals who are at least 18 years old and who hold one or more credit cards whose benefits they wish to track. By using the Service, you represent that you meet these requirements and have the legal capacity to enter into this agreement.

3. Description of Service

Lahboom helps holders of premium credit cards track, understand, and make the most of the lifestyle credits and benefits associated with their cards (for example, dining, travel, retail, or wellness credits), so they don't let value go unused. Lahboom is an independent service and is not affiliated with, endorsed by, or sponsored by any credit card issuer, bank, or merchant referenced within the Service. Card and benefit information is provided for informational and organizational purposes only and does not constitute financial advice.

4. Your Account

4.1 Registration. Access to Lahboom currently requires an invitation from us; we may open the Service to public registration at a later date. Where you are invited or otherwise permitted to register, you create an account by providing an email address and such other information as we may request.

4.2 Accuracy. You agree to provide accurate, current, and complete information and to keep that information up to date.

4.3 Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@lahboom.com if you suspect unauthorized use of your account.

4.4 Account Deletion. You may request deletion of your account at any time by contacting us at hello@lahboom.com. Deleting your account will also cancel any active paid subscription effective at the end of your current billing period; you will not be charged again after deletion, and you will retain access to paid features through the remainder of that period.

5. Subscriptions, Free Trial, and Billing

5.1 Free Trial. New users may be eligible for a one-time, 7-day free trial of Lahboom's paid subscription (one trial per person or account). A valid payment method is required to start the trial. No charge is made during the trial. Before your trial converts to a paid subscription, we will separately ask for your express affirmative consent to the automatic-renewal terms described in Section 5.3 — including the cost, frequency, and how to cancel — before confirming your payment method, as required by California law. At the end of the 7-day trial, unless you cancel before it ends, your payment method will automatically be charged $29.00 USD for the first annual subscription period.

5.2 Subscription Fee. Following the trial (or upon sign-up, if no trial applies), the Service is offered on an annual subscription basis at $29.00 USD per year, billed upfront for each 12-month period, unless otherwise stated at checkout.

5.3 Auto-Renewal. Your subscription automatically renews for successive 12-month periods at the then-current price unless you cancel before the end of the current billing period. Before you first agree to a subscription, we will obtain your express affirmative consent to these automatic-renewal terms — separate from your general acceptance of these Terms — and will disclose how to cancel before confirming your payment method. We will also send an advance reminder notice before each annual renewal (identifying the subscription, the renewal price, and how to cancel) and clear and conspicuous notice before any price change. [The exact notice windows must be set to match California's Automatic Renewal Law as amended by AB 2863 (effective July 1, 2025) — have counsel confirm the required timing, and verify the checkout flow actually captures and records this consent before launch.]

5.4 Payment Processing. Payments are processed by Stripe, Inc. ("Stripe"). By subscribing, you agree to Stripe's terms of service and authorize Lahboom, through Stripe, to charge your chosen payment method on a recurring basis as described in this Section 5. Lahboom does not store your full payment card number.

5.5 Cancellation. During the free trial: you may cancel at any time before the trial ends to avoid being charged; your access ends at the end of the trial period. During a paid subscription term: you may cancel at any time; cancellation takes effect at the end of the then-current billing period, and you keep access to paid features through that period. You may cancel online, through the same method you used to sign up, without being required to call or speak to a representative. 5.6 Refunds. Fees already paid are generally non-refundable, including for partial periods, unused time, or the remainder of a subscription term, except where required by applicable law. If we terminate your account for a reason other than your violation of these Terms, or if we discontinue the Service, your access continues through the end of your then-current billing period and we will not charge you again; we do not provide a refund for the unused portion of that period. If your subscription is purchased through a third-party platform (such as the App Store or Google Play), refund requests are subject to that platform's refund policies.

5.7 Price Changes. We may change our subscription fees from time to time. Any change applies to subsequent billing periods, and we will provide clear and conspicuous notice of the change at least 7 and no more than 30 days before it takes effect, consistent with California law.

5.8 Payment Failure. If a renewal charge fails, Stripe will automatically retry the charge on its standard retry schedule and can send you payment-related email notices on our behalf. Restricting in-app access when a payment is overdue is handled by Lahboom, not automatically by Stripe: if payment is not successfully collected after Stripe's retries, we will suspend your access to paid features, and may cancel your subscription if payment remains unpaid. 6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service, other accounts, or related systems; (c) reverse engineer, decompile, or scrape the Service except as permitted by law; (d) interfere with or disrupt the integrity or performance of the Service; (e) misrepresent your identity or impersonate another person; or (f) resell, sublicense, or provide access to the Service to third parties without our written permission.

7. User Content

"User Content" means the information you add to your account, such as the cards and benefits you choose to track. You retain ownership of your User Content. By submitting it, you grant Lahboom a worldwide, non-exclusive, royalty-free license to host, store, and use that content solely to operate and improve the Service for you. You are responsible for ensuring your User Content is accurate and that you have the right to submit it.

8. Intellectual Property

The Service, including its software, design, text, graphics, and other content (excluding User Content), is owned by Lahboom or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial use, subject to these Terms.

9. Third-Party Services and Links

The Service may reference or link to third-party websites, card issuers, merchants, or services that Lahboom does not control. We are not responsible for the content, accuracy, or practices of any third party, and your use of third-party services is governed by their own terms and policies.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Lahboom does not guarantee the accuracy, completeness, or timeliness of any credit card benefit, credit, or offer information displayed in the Service, as such information is subject to change by the relevant card issuer or merchant at any time without notice. Lahboom is not a financial advisor, and nothing in the Service constitutes financial, tax, or legal advice. You are solely responsible for confirming benefit terms directly with your card issuer before relying on them.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAHBOOM AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO LAHBOOM IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12. Indemnification

You agree to indemnify and hold harmless Lahboom and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination (including Sections 8, 10, 11, 12, and 15) will survive.

How fees are treated when we discontinue the Service or terminate an account is addressed in Section 5.6 (Refunds); have counsel reconcile that provision with this Section before publishing.

14. Changes to the Service and These Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms from time to time; if we make material changes, we will provide reasonable notice (such as by email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service is subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to personal jurisdiction there.

California venue and dispute-resolution language (including any arbitration or class-action-waiver provisions you may add) should be reviewed by counsel before publishing.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lahboom regarding the Service.

Future Platforms. If Lahboom becomes available through the Apple App Store, Google Play, or another platform, purchases made there will be billed and managed under that platform's own terms, and we will update these Terms before that launch to describe how the two interact.
